Terms of Service

Effective October 23, 2026 · Version 2026-10-23

These Terms of Service form an agreement between Utter Reach, INC., Michigan, USA ("Utter Reach," "we," "us"), and the person or business accepting them ("you"). They govern UtterDialer and related workspaces, numbers, communications, billing, and websites. By affirmatively accepting these terms, creating an account, or using the service after receiving notice of them, you agree to them. If you act for a business, you represent that you have authority to bind it. You must be at least 18.

1. Service and account access

We provide business communications software, subject to the features and limits of your plan. Some features may be unavailable, in testing, or awaiting activation. A draft campaign, purchased number, or credit balance does not establish that every calling feature is enabled. Protect your credentials, maintain accurate account information, and promptly report unauthorized access. You are responsible for users you authorize and their use of your workspace, except to the extent caused by our breach of these terms or applicable law.

2. Calling, consent, and acceptable use

You are responsible for the purpose, recipients, timing, content, and lawful basis of your calls and messages. Before outreach, obtain and retain required permissions, consent and other evidence; honor do-not-call records and opt-outs; apply applicable calling-hour and attempt limits; provide required disclosures and caller identification; and obtain required recording or transcription permissions. Apply applicable federal, state, local, and international requirements, including requirements concerning telemarketing, automated or prerecorded communications, privacy, and consumer protection. Service controls and screening results are tools and do not certify compliance.

Do not use the service for unlawful, deceptive, fraudulent, harassing, threatening, discriminatory, or abusive conduct; unauthorized caller-ID spoofing or impersonation; unlawful robocalling or spam; evasion of consent or opt-out requirements; resale of account access without permission; interference with networks; unauthorized access or security testing; or infringement of others' rights. Do not upload unlawfully obtained lead lists. You must comply with applicable carrier and provider requirements, including Twilio's Acceptable Use Policy and Voice Services Policy. We may request evidence of permission and investigate or restrict suspected misuse.

3. Not an emergency service; screening limitations

Do not rely on UtterDialer for emergency calling, emergency dispatch, medical or safety-critical communications. The service is not offered as an emergency calling service or a replacement for a telephone service with emergency access. Maintain another means of contacting emergency services.

Carrier filtering, unavailable numbers, browser or network faults, provider outages, and inaccurate screening or classification can affect calls. Voicemail detection, AI classification, transcripts, and automated dispositions can be wrong or delayed. We do not guarantee connection rates, delivery, answer accuracy, revenue, sales, lead quality, or uninterrupted access. Review results before making material decisions.

4. Plans, payments, renewal, and credits

Prices, included numbers and credits, usage rates, and other limits are those displayed in your plan and checkout before purchase. Monthly subscriptions renew and are charged monthly until canceled. By subscribing, you authorize the disclosed recurring charges through our payment processor. Manage or cancel your subscription through the billing portal or contact info@utterreach.com. Unless the checkout or applicable law provides otherwise, cancellation stops future renewal and access continues through the paid subscription period.

Credits are prepaid service balance, not a bank account, investment, or transferable currency. The portal currently displays 100 credits as $1.00 of service balance. Usage charges must be disclosed before the relevant paid feature is enabled. Included credits and number allowances depend on your plan. Credits have no cash redemption right except as required by law or expressly agreed. We do not impose an undisclosed expiration rule through these terms.

Subscription fees, used service charges, and already incurred carrier charges are generally non-refundable except as required by law, stated at checkout, or agreed by us. Contact us about billing errors or requests concerning unused prepaid balance; mandatory refund and consumer rights remain intact. You are responsible for applicable taxes and charges disclosed before purchase. We may restrict paid features after nonpayment, a chargeback, or an expired subscription. We will provide notice of material price changes before they apply to a future renewal, as required by law; you may cancel before that renewal.

5. Phone numbers and third-party services

Numbers are provisioned through carriers and providers, subject to availability, identity or address requirements, plan limits, and provider rules. A number is a right to use the assigned service while eligible, not ownership of the number. Only supported standard numbers are included; premium or unsupported numbers require a separate agreement. Number release, porting, retention after cancellation, and restoration depend on provider rules and technical availability. Contact us before canceling if you need to retain or port a number. We do not guarantee that a released number can be recovered.

Twilio, Stripe, OpenAI, Cloudflare, carriers, and other providers support applicable features. Their outages, restrictions, prices, or policy changes can affect service availability. Your direct use of a third-party service may also be subject to its own terms. We remain responsible for obligations that applicable law does not permit us to disclaim.

6. Customer content and privacy

You retain your rights in your contacts, communications, recordings, and other content. You grant us and our providers the limited rights needed to host, transmit, process, screen, store, and otherwise handle that content to provide, secure, support, and administer the service and comply with law. You represent that you have the necessary rights and permissions. This is not a transfer of ownership of your lead lists.

Our Privacy Policy explains our information practices. You are responsible for notices and lawful instructions concerning information you submit and communications you initiate. Contact us before using data requiring a separate data processing agreement, regulated-data arrangement, or international transfer terms. We do not agree through these terms to act as a HIPAA business associate or support other specially regulated uses. Do not submit such information without a separate written agreement.

7. Suspension, termination, and data requests

We may suspend or limit access where reasonably necessary to address suspected unlawful or abusive use, security threats, provider requirements, nonpayment, or material breach. Where feasible and appropriate, we will provide notice and an opportunity to address the issue; urgent action may be immediate. You may stop using the service and request closure. We may end a service offering with reasonable notice where practicable and will address prepaid amounts for service we permanently discontinue as required by law and any applicable agreement.

Request needed exports and number porting before closure. We will provide reasonable assistance subject to verification, technical capability, applicable law, and provider rules. We do not promise indefinite post-termination access. We may retain records as described in our Privacy Policy. Provisions that by their nature should survive termination, including payment obligations, intellectual property, limitations, disputes, and indemnification, survive.

8. Intellectual property and feedback

We and our licensors retain rights in the software, service design, branding, and documentation. Your plan grants a limited, nonexclusive right to use the service for authorized business purposes while eligible. Do not copy, distribute, reverse engineer, or create competing copies except where applicable law permits it. You may provide voluntary feedback; we may use it without a payment obligation, without taking ownership of your confidential content.

9. Warranties and limits of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT USE WILL MEET EVERY REQUIREMENT OR PREVENT ALL ERRORS, UNLAWFUL CALLS, SECURITY INCIDENTS, OR THIRD-PARTY CLAIMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE TO THE OTHER FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, REVENUE, GOODWILL, OR BUSINESS OPPORTUNITY ARISING FROM THESE TERMS. UTTER REACH'S TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF $100 OR THE FEES YOU PAID TO UTTER REACH FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These exclusions and limits do not exclude fraud, willful misconduct, liability that applicable law prohibits excluding or limiting, or mandatory consumer rights. They do not excuse payment of valid charges or restrict refunds required by law. Some jurisdictions do not allow certain exclusions; those exclusions apply only to the extent permitted.

10. Customer indemnification

To the extent permitted by law, you will defend, indemnify, and hold Utter Reach and its officers, employees, and agents harmless from third-party claims, damages, liabilities, and reasonable legal costs arising from your unlawful communications, content that infringes another's rights, failure to obtain required consent or honor opt-outs, or material breach of these terms. This obligation does not apply to the extent a claim results from our negligence, willful misconduct, or breach of these terms. We will give prompt notice, reasonable cooperation, and reasonable control of the defense. You may not settle a claim by admitting fault on our behalf or imposing an obligation on us without our written consent, which will not be unreasonably withheld.

11. Disputes and governing law

Contact info@utterreach.com first so we can try to resolve a dispute. Michigan law and applicable United States federal law govern, without regard to conflict-of-law rules, except where mandatory law requires otherwise. Subject to mandatory jurisdiction and consumer protections, disputes may be brought in the state or federal courts with jurisdiction in Michigan, and the parties consent to those courts. These terms do not impose mandatory arbitration or waive rights that applicable law does not allow to be waived.

12. Changes and general terms

We may modify the service and these terms. We will provide reasonable notice of material changes and obtain new acceptance where required. Changes do not retroactively remove accrued rights or mandatory protections. If you do not agree, stop using the affected service and cancel future renewal. If a provision is unenforceable, the remaining provisions remain in effect to the extent permitted by law. Failure to enforce a provision is not a waiver. A separately signed agreement controls in the event of an express conflict. Neither party is responsible for delays caused by events beyond its reasonable control, except for payment obligations already incurred and duties that cannot be excused by law.
